Re: Quarterback Resources Inc. ("Quarterback")

We refer to the prospectus of Quarterback dated June 6, 2025 (the "Prospectus") prepared in connection with the Company becoming a reporting issuer under the applicable securities legislation in the Provinces of Alberta, British Columbia and Ontario.

We hereby consent to being named and to the inclusion in the abovementioned Prospectus of our independent auditor's report dated April 18, 2025 to the Shareholders of the Company on the following financial statements:

• The statement of financial position as at October 31, 2024;
• The statement of loss and comprehensive loss, the statement of changes in shareholders' equity, and the statement of cash flows for the period from incorporation on April 16, 2024 to October 31, 2024, and the related notes to the financial statements, including a summary of significant accounting policies.

The Prospectus also includes the following unaudited interim financial statements of Quarterback:

• The interim statement of financial position as at January 31, 2025;
• The interim statement of loss and comprehensive loss, the statement of changes in equity, and the statement of cash flows for the three-month period ended January 31, 2025, and the notes to the interim financial statements, including a summary of significant accounting policies.

We confirm that we have read the Prospectus and all information therein, and we have no reason to believe that it contains any misrepresentations or omissions of material facts in respect of the information derived from the financial statements upon which we have reported, or that are within our knowledge as a result of our audit of such financial statements.

We have complied with Canadian generally accepted standards for an auditors' consent to the use of an auditor's report included in an offering document. This consent does not constitute an audit or review of the Prospectus as those terms are described in the CPA Canada Handbook - Assurance.
