CHANGE OF AUDITOR NOTICE

QUANTUM SECURE ENCRYPTION CORP.

(the “Company”)

The Company hereby gives notice, pursuant to section 4.11 of National Instrument 51-102 Continuous Disclosure Obligations (“NI 51-102”), as follows:

(a) Mao & Ying LLP (“MY”) has resigned as the Company’s auditor effective May 15, 2026;
(b) the Company appointed MNP LLP (“MNP”) as its auditor effective May 15, 2026;
(c) the resignation of MY and the appointment of MNP as auditor of the Company were considered and approved by the board of directors of the Company;
(d) MY has not expressed a modified opinion on any of the financial statements of the Company commencing at the beginning of the two most recently completed financial years ending on the date of resignation; and
(e) there has been no “reportable event” as defined in Section 4.11(1) of NI 51-102.
