(the “ Company ”), we submit this letter in response to comments from the staff (the “ Staff ”) of the Securities and Exchange Commission (the “ Commission ”) issued in its letter dated August 2, 2017 (the “ Comment Letter ”) relating to the above-referenced Preliminary Proxy Statement on Schedule 14A (the “ Preliminary Proxy Statement ”). We are concurrently submitting via EDGAR this letter and Amendment No. 1 to the Preliminary Proxy Statement (the “Amendment”).

The Company acknowledges the Staff’s comment and respectfully advises the Staff that it has indicated on page 7 of the Amendment that the Company filed a registration statement on S-1 with the Commission with respect to a public offering of securities and that aside from the proposed offering, which may or may not occur, the Company has no other specific plans or agreements to issue any newly authorized securities.
