QUADRO RECEIVES CONDITIONAL APPROVAL TO CLOSE PRIVATE PLACEMENT FINANCING

Vancouver, B.C., January 8, 2026. Quadro Resources Ltd. ("Quadro" or the "Company") (TSXV: QRO; FSE: G4O) further to its November 25, 2025, December 11, 2025 and January 6, 2026 news releases, the Company is pleased to announce that the Company has received Conditional Approval from the TSX Venture Exchange (the "Exchange") to close its $0.035 private placement financing (the "Financing").

The Company has issued 7,214,286 units at a price of $0.035 per unit (the "Units"), each Unit consisting of one common share and one common share purchase warrant (the "Warrants"), each Warrant entitling the holder to purchase one additional common share of the Company at an exercise price of $0.06 per common share for a period of 24 months from the date of issue.

In connection with the Financing, and subject to Exchange approval, the Company will pay cash finders' fees totaling $11,025 and issue 315,000 non-transferable broker warrants, exercisable at $0.06 for 24 months, as permitted by the policies of the Exchange.

All securities issued pursuant to the Financing are subject to a 4-month plus 1 day hold, expiring May 9, 2026.

The Company intends to use the proceeds of the Financing for general working capital purposes ($175,129) and to fund its portion of the Quadro-TRU Precious Metals Corp. joint venture on the Staghorn property ($66,346).
