On December 13, 2012, the Compensation Committee (the “Committee”) of the Board of Directors of Quad/Graphics, Inc. (the “Company”) and its Compensation Subcommittee approved form award agreements that it intends to use under the Company's 2010 Omnibus Incentive Plan for future awards of performance shares and performance units. These form award agreements are attached hereto as Exhibits 10.1 and 10.2, respectively, and incorporated herein by reference.
