Item 3.02 Unregistered Sales of Equity Securities
On September 23, 2005, Save the World Air, Inc. (the Company) concluded a private offering of units ( the Units) comprised of its 9% Convertible Promissory Notes due July 31, 2006 (the Notes) and Warrants to purchase shares of the Companys common stock which expire August 31, 2007 (the Warrants). The Notes are convertible at $0.70 per share of common stock and the Warrants have an exercise price of $1.00 per share. The Company has concluded this offering after raising an aggregate of $953,720 from 23 purchasers in connection with the sales of the Units. If all the Notes were converted and all the Warrants were exercised, the Company would be obligated to issue an aggregate 3,406,134 shares of its common stock.
The issuances of shares and warrants described above were made in reliance on the exemptions from registration set forth in Section 4(2) of the Securities Act of 1933, as amended, or Regulations D or S promulgated thereunder.
