（二）審計委員會查核報告 本公司董事會造具一 ○ 三年度財務報表，業經董事會委託之安侯建業聯合會計師事務所唐慈杰、陳玫燕兩位會計師共同出具查核報告。前述財 務報表、營業報告書、會計師查核報告暨盈餘分派之議案等，經本審計委員會查核認為尚無不合，爰依證券交易法第十四條之四及公司法第 二一九條規定，特此報告。報請 鑒察。

第一案 案 由： 擬承認一 ○ 三年度財務報表及營業報告書案，謹請承認。（董事會提） 說 明： 一、 本公司一 ○ 三年度財務報表，業經董事會委託安侯建業聯合會計師事務所唐慈杰及陳玫燕會計師查核完竣，認為足以允當表達佳世達 科技股份有限公司一 ○ 三年十二月三十一日之財務狀況暨一 ○ 三年度之財務績效及現金流量情形，並檢附營業報告書。 二、 會計師查核報告及財務報表，請參閱附件，謹請承認。 決 議： 本議案之投票表決結果： 表決時出席股東表決權數 ( 含電子投票 ) ： 1,279,919,980 權 贊成權數： 1,217,104,625 權，占表決權數 95.09% ； 反對權數： 116,700 權，占表決權數 0.01% ； 無效權數： 0 權，占表決權數 0% ； 棄權及未投票權數： 62,698,655 權，占表決權數 4.90% 。 本案照原案表決通過。 第二案 案 由： 擬承認一 ○ 三年度盈餘分派案，謹請承認。（董事會提） 說 明： 一、 本公司一 ○ 三年度盈餘分派，擬依公司法暨公司章程規定，股東股利每股配發現金新台幣（以下同） 0.6 元。一 ○ 三年度盈餘分派表， 請參閱附件。 二、 本次現金股利俟股東常會通過後，由董事長另訂配息基準日及配發現金股利等相關事宜。 三、 本次盈餘分派案，如因本公司流通在外股數發生變動，致使配息率異動而需修正時，擬請股東會授權董事長全權處理。 決 議： 本議案之投票表決結果： 表決時出席股東表決權數 ( 含電子投票 ) ： 1,279,919,980 權 贊成權數： 1,216,852,944 權，占表決權數 95.07% ； 反對權數： 112,427 權，占表決權數 0.01% ； 無效權數： 0 權，占表決權數 0% ； 棄權及未投票權數： 62,954,609 權，占表決權數 4.92% 。 本案照原案表決通過。
