NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES OR THEIR CONNECTED PERSONS

Grant of Award under the QinetiQ Group plc Stock Award Plan

On 1 August 2013 an award of Ordinary Shares of 1p ('Shares') was granted to a person discharging managerial responsibilities under the QinetiQ Group plc Stock Award Plan ('SAP') as summarised below:

There is no exercise price applicable for the above award. 

The award comprises Restricted Stock Units which vest in four equal tranches over a four year period and are subject to a vesting schedule which is partly time-based and partly based on the achievement of performance conditions relating to the achievement of growth in organic operating income.  The SAP is used in QinetiQ North America.
