PZ Cussons Plc (the "Company") 

Announcement to the London Stock Exchange 

This notification is made in accordance with DR 3.1.4R(1)(a). 

On 1 August 2016 Mr C Davis exercised options granted to him under the Company's Executive Share Option Scheme over 65,769 ordinary shares of 1p in the Company at £1.6725 per share. On the same day Mr Davis sold 65,769 ordinary shares to the Paterson Zochonis Employee Trust ("the Trust") for a consideration of £3.397 per share.

After the sale, Mr Davis (and his connected persons) holds 317,511 ordinary shares (comprising 0.07% of the total shares in issue). The Company was informed by Mr Davis of this dealing in shares on 1 August 2016. 

The Trust is a discretionary trust under which the class of beneficiaries who may benefit comprises all bona fide employees and former employees of the Company and its subsidiaries including members of such employees' and former employees' immediate families.  Accordingly, the Executive Directors and PDMRs of the Company are included in the class of beneficiaries and are deemed to have an interest in all of such shares. The Trust's holding in the ordinary shares of 1p in the Company after this transaction is 10,208,409 shares (2.38%).

No new shares have been issued in respect of the dealing above.
