PZ Cussons Plc (the "Company")  

Persons discharging managerial responsibility ('PDMR') shareholding  

On 27 July 2017 the following Directors of the Company and other persons discharging managerial responsibility ('PDMRs') were granted conditional awards ('Awards') under the PZ Cussons Performance Share Plan to acquire the following numbers of ordinary shares of 1p each in the Company as set out below.

The Awards will ordinarily vest at nil cost on the third anniversary of grant subject to the grantee's continued employment and the attainment of performance targets, save that any Awards earned in excess of 100 per cent of base salary (on grant) will vest not at the end of the three year performance period but will be deferred and vest in equal amounts four years and five years after the date of grant. No consideration is payable in respect of the grant of the Award. 

This notification is made in accordance with the requirements of the EU Market Abuse Regulation.
