SUMMARY OF PROCEEDINGS OF 26[TH] ANNUAL GENERAL MEETING (“AGM/ Meeting”)
The 26[th ] AGM of the shareholders of the Pyramid Technoplast Limited (“the Company”) was held on Monday, September 9, 2024, at 11:30 A.M. (IST) through Video Conferencing (“VC”)/ Other Audio Visual Means (“OAVM”) in accordance with the various Circulars issued by the Ministry of Corporate Affairs and the Securities and Exchange Board of India and in compliance with the applicable provisions of the Companies Act, 2013 (the ‘Act’) and the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”).
Mr. Bijaykumar Agarwal, chaired the proceedings of the Meeting. Ms. Zoya Shaikh, Company Secretary & Compliance Officer of the Company declared that the requisite quorum was present and called the meeting to order.

All the Directors & Key Managerial Personnel were present at the Meeting through Video Conferencing.

The Company Secretary welcomed all the shareholders, auditors and other invitees present at the meeting.

The Chairman briefly explained the financial and operational performance of the Company during the financial year 2023-24 and future outlook of the Company.

The Company Secretary informed that remote e-voting arrangements had been made for all members to cast their votes electronically and the e-voting facility was also made available during the AGM.

The Company Secretary, thereafter informed that the Notice convening the AGM, Director’s report and Auditor’s report are already circulated to members, with the consent of the shareholder, same were taken as read. She briefed the Members on business items proposed to be transacted at the meeting, as under:

The Company Secretary thereafter invited registered speaker shareholders who had registered to seek clarifications on the financial statements and the proposed resolutions. The questions raised by the Speaker Shareholders were thereafter responded to by the Chairman.
Further, she informed that as per the requirements of the SEBI Listing Regulations, the e-voting results along with the Scrutinizer's Report shall be disseminated to the stock exchange within two working days of conclusion this AGM and will also be made available on the website of the Company at: https://pyramidtechnoplast.com/ and the Stock Exchanges i.e. BSE Limited at https://www.bseindia.com/ and NSE Limited at https://www.nseindia.com/.
Quorum was present throughout the meeting. There being no other business to transact, the AGM concluded at 12:00 P.M. (IST) with vote of thanks to the Chair.
