Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 24, 2008, the Compensation Committee of the Board of Directors of Phillips-Van Heusen Corporation approved a bonus payment of $100,000 to Michael Zaccaro, Vice Chairman, Retail, and of $330,000 to Francis K. Duane, Vice Chairman, Wholesale, in respect of their performance during the Company’s fiscal year ended February 3, 2008. These amounts are in addition to any amounts to be received by these officers under the Company’s Performance Incentive Bonus Plan for the Company’s fiscal year ended February 3, 2008.
