Pricing Supplement dated December 6, 2012 to the Preliminary Prospectus Supplement dated December 6, 2012 of PVH Corp. This Pricing Supplement is qualified in its entirety by reference to the Preliminary Prospectus Supplement. The information in this Pricing Supplement supplements the Preliminary Prospectus Supplement and supersedes the information in the Preliminary Prospectus Supplement to the extent it is inconsistent with the information in the Preliminary Prospectus Supplement. Capitalized terms used in this Pricing Supplement but not defined have the meanings given them in the Preliminary Prospectus Supplement.

Change of Control: Upon the occurrence of certain change of control events, each holder may require PVH to repurchase all or a portion of such holder’s notes at a purchase price of 101% of the
principal amount thereof plus accrued and unpaid interest, if any, to but not including, the date of purchase.
Optional Redemption: Prior to December 15, 2015, up to 35% of the aggregate principal amount of the notes originally issued at a redemption price of
104.500%, plus accrued and unpaid interest, if any, to, but not including, the redemption date, with the net cash proceeds of one or more Equity Offerings. On or after December 15, 2017, at the following redemption prices, plus accrued and unpaid interest, if any, to, but not including, the redemption

agreement or that we have determined that the consummation of the Warnaco Acquisition will not occur on or before August 20, 2013, PVH will be required to redeem all and not less than all of the notes then outstanding at a redemption price equal to
100% of the aggregate principal amount of the notes plus accrued and unpaid interest to, but not including, the redemption date. |
