Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

Phillips-Van Heusen Corporation (the “Company”) announced on May 29, 2008 that Michael Zaccaro, Vice Chairman, Retail, will retire from his current position, effective at the end of fiscal 2008. Thereafter, Mr. Zaccaro will remain with the Company, providing support to the Company’s retail initiatives and assisting on other related projects that will allow the Company to benefit from his retail expertise. In connection with this move, Steven Shiffman, most recently President of the Company’s Van Heusen retail division, was promoted to Group President, Retail, and will assume certain of Mr. Zaccaro’s duties for the Company’s Retail Group after a transition period.
