Notification of Transactions of Directors/Persons Discharging Managerial Responsibility or their Connected Persons

In accordance with Rule 3.1.2R of the Disclosure and Transparency Rules, the Company was notified on 20 May 2016 that Zohar LLC transferred: (i) 2,378,032 ordinary shares of one pence each in the capital of the Company (the "Ordinary Shares") for nil consideration to the Zohar Family Trust I, a US-established trust of which Daphne Zohar is a beneficiary and trustee; and (ii) 2,378,031 Ordinary Shares for nil consideration to the Zohar Family Trust II, a US-established trust of which Daphne Zohar is a beneficiary (in the event of her spouse's death) and trustee.

Daphne Zohar is the Chief Executive Officer and a director of the Company. Zohar LLC, the Zohar Family Trust I and the Zohar Family Trust II are each persons connected with Daphne Zohar for the purposes of Rule 3.1.2R of the Disclosure and Transparency Rules.

The Company was informed that these transfers, which took place on 20 May 2016, were for estate planning purposes.

As a result of these transfers, which together represent approximately 2% of the issued share capital of the Company, the Zohar Family Trust I and the Zohar Family Trust II have each acquired approximately 1% of the issued share capital of the Company. There has been no change in the total number of voting rights in the Company directly or indirectly held by Daphne Zohar.
