Pursuant to the Circular dated 5[th] May, 2020 read with Circular dated 8[th] April, 2020, 13[th] April, 2020, 15[th] June 2020, 28[th] September, 2020, 31[st] December, 2020, 23[rd] June, 2021, 8[th] December, 2021, 5[th] May, 2022 and 28[th] December, 2022 of Ministry of Corporate Affairs and SEBI Circular dated 5[th] January, 2023, the 24[th] Annual General Meeting (AGM) of the Company will be held on Wednesday, the 27[th] September 2023 at 12:30 p.m. through Video Conferencing / Other Audio Visual Means (“VC/ OAVM”) only.

The Notice of the 24[th] Annual General Meeting and Annual Report for the financial year 2022-23 will be sent to all shareholders whose email IDs are registered with the Company/Depositories and will also be available on the Company’s website at www.ptcindia.com and on the website of the stock exchange(s) i.e. BSE Limited and National Stock Exchange of India Ltd at www.bseindia.com and www.nseindia.com respectively, in due course.

Pursuant to Section 91 of the Companies Act, 2013 and Regulation 42 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Register of Members and Share Transfer books will remain closed from Thursday, the September 21, 2023 to Wednesday, September 27, 2023 (both days inclusive).

Further, the Members of the Company whose names appear on the Company’s Register of Members as on Wednesday, 20[th] September, 2023 (closing hours) would be entitled to receive the final dividend (if declared at ensuing AGM) @ 78% (Rs. 7.8 per equity share of Rs.10/- each) for FY 2022-23.
