Section 5 – Corporate Governance and Management

Item 5.0 3 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On June 24, 2021, the Board of Directors of PTC Inc. (the “Company”) amended Section 5.9 of the Company’s Amended and Restated By-Laws to provide that, unless the Company consents in writing to the selection of an alternative forum, the federal district courts of the United States of America will be the exclusive forum for the resolution of any complaint asserting a cause of action arising under the Securities Act of 1933, as amended (the “Amendment”).

The foregoing description of the Amendment is not complete and is qualified in its entirety by reference to the Amendment, which is filed as Exhibit 3.1 hereto and incorporated herein by reference.
