Section 8 – Other Events

Item 8.01. Other Events.

On February 16, 2016, PTC Inc. announced that it had entered into an agreement with the U.S. Securities and Exchange Commission and that its China subsidiaries had entered into an agreement with the U.S. Department of Justice that resolve a previously disclosed Foreign Corrupt Practices Act investigation pertaining to expenditures by certain former employees and business partners in China between 2006 and 2011.

In connection with the agreements, PTC and its China subsidiaries will pay $28.2 million in penalties and interest to these agencies.
