6.000% Senior Notes due 2024

On March 25, 2020, PTC Inc. notified the Trustee under the Indenture, dated as of May 12, 2016, between PTC Inc. and The Bank of New York Mellon, as trustee (the “Trustee”), as supplemented by the First Supplemental Indenture, dated as of May 12, 2016, between PTC Inc. and the Trustee, governing the 6.000% Senior Notes due 2024 issued by PTC Inc. (the “Notes”), that PTC Inc. intends to redeem on May 15, 2020 (the “Redemption Date”) all $500,000,000 outstanding aggregate principal amount of the Notes at a redemption price equal to 103.000% of the aggregate principal amount of the Notes, plus accrued and unpaid interest thereon to, but excluding, the Redemption Date.
