1. All of the issued and outstanding common shares in the capital of the Corporation are hereby consolidated at an 8:1 ratio, with eight (8) pre-consolidation common shares being consolidated into one (1) post-consolidation common shares.

2. No fractional common shares of the Corporation shall be issued in connection with the share consolidation and, in the event that a shareholder would otherwise be entitled to a fraction of a share upon such share consolidation, the number of common shares of the Corporation held by such shareholder shall be rounded down to the nearest whole number of common shares.
