NOTICE OF THE 35[th] ANNUAL GENERAL MEETING AND REMOTE E-VOTING INFORMATION 1. Notice is hereby given that the 35[th] Annual General Meeting (AGM) of the Members of Vishal Fabrics Limited ("the Company") will be held on on December 09, 2020 at 03:00 p.m through Video Conference ("VC")/Other Audio Visual Means ("OAVM") facility in compliance with the applicable provisions of Companies Act, 2013 and Rules framed thereunder and the SEBI (Listing Obligations And Disclosures Requirement) Regulations, 2015 and General Circular Nos. 14/2020, 17/2020 and 20/2020 dated April 8, 2020, April 13, 2020 and May 5, 2020, respectively, issued by the Ministry of Corporate Affairs ("MCA Circular/s") and Circular No. SEBI/HO/CFD/CMD1 /CIR/P//2020/79 dated May 12, 2020 issued by the Securities and Exchange Board of India ("SEBI Circular"), without the physical presence of the members at a common venue. 2. The Annual Report for the Financial Year 2019-20 and the AGM Notice have been sent electronically to the Members whose e-mail IDs are registered with the Company / Registrar and Transfer Agent / Depository Participants. Pursuant to Rule 20 of the Companies (Management and Administration) Rules, 2014 the Company hereby informs that: 1. All the businesses as set out in the Notice of AGM may be transacted through remote e- voting. 2. The remote e-voting period shall commence on Sunday, 06[th] December, 2020 from IST 9:00 a.m. onwards and shall end on Tuesday, 08[th] December, 2020 at IST 5:00 p.m. No Remote e-voting shall be allowed beyond the said date and time. The shareholders of the Company holding shares as on 02[nd] December 2020, (cut-off date) shall be entitled to cast their vote electronically according to the instructions mentioned in the AGM Notice to obtain his/her login id and password and the instructions on e-voting available in the Notice of AGM. 3. A member may participate in the AGM even after exercising his right to vote through Remote e-Voting, but shall not be allowed / entitled to vote again in the AGM. Once the vote on a resolution is cast by the Member through E-voting, he shall not be allowed to change it subsequently. In case the member's cast their vote by both the means then voting done through remote e-voting shall prevail. 4.
