PRESS RELEASE

CHANGE IN SHARE CAPITAL AND NEW BY-LAWS

Milan, 6 June 2023 - We hereby notify the new composition of the paid-up share capital of Prysmian S.p.A. (the "Company"), according to the execution of the free share capital increase resolutions adopted on April 12th , 2022, by the Shareholders' Meeting, in extraordinary session, of the Company, serving the stock grant plans based on Prysmian ordinary shares as approved by the Shareholders' Meeting held on April 28th , 2020 and on April 12th , 2022, and reserved for employees and executive Directors of Prysmian S.p.A. and Prysmian Group's companies. More precisely, the Company issued:

• on May 29th , no. 292,511 ordinary shares,
• on June 5 th , no. 8,000,000 ordinary shares.

The notice of change in share capital has been filed today with competent Companies' Register. The updated Company's by-laws is available since today, on the Company's website at www.prysmiangroup.com and in the mechanism for the central storage of regulated information at .
