Rotterdam, 17 September 2024

Today Pryme N.V. (the “Company”) has issued 10,620,777 new shares in its capital.

The issuance of these shares has taken place in a notarial deed and has been filed with the Dutch Chamber of Commerce today. These new shares have been delivered today and are immediately tradeable on Euronext Growth Oslo.

The Company's registered share capital following today’s issuance of shares is EUR 3,058,419.95, divided into 61,168,399 shares, each with a par value of EUR 0.05.

The issue of shares took place in order to satisfy and to fully convert the convertible loan of EUR 10,056,814 from Taranis Investment Limited (“Taranis”) to the Company that replaced Taranis’ previous subscription to 10,620,777 shares in the Company’s private placement of 25 March 2024, as approved by the Company’s extraordinary general meeting on 25 June 2024. The conversion price was EUR 0.9469 per share, corresponding to NOK 11.00 per share based on the official EUR:NOK exchange ratio of 1:11.6170 on the date of the Company’s private placement.
