On November 19, 2012, Prudential Financial, Inc. (the “Company”) closed the sale of $1,500,000,000 in aggregate principal amount of its 5.625% Fixed-to-Floating Rate Junior Subordinated Notes due 2043 (the “Junior Subordinated Notes”).
