Sub: Clarification sought on Appointment of Mr. Bipin Gurnani as an "Additional Director" designated as Whole-time Director of the Company.

Ref: Company's Intimation dated 17th December 2021 and NSE Circular dated 20, 2018

In connection to our intimation dated 17th December 2021 and requirement received from National Stock Exchange of India Limited (NSE) on 20th December 2021, the clarification sought on above subject matter has been reproduced below for your ready reference.

Clarification sought: This is with respect to an announcement submitted to the Exchange dated 17th December 2021, regarding Appointment of Mr. Bipin Gurnani as an Additional Director and designated as Whole-time Director of the Company w.e.f. 17th December 2021. On basis of above the Company is required to provide confirmation in compliance with SEBI Letter dated June 14, 2018 read along with NSE Circular dated June 20, 2018 for appointment of Mr. Bipin Gurnani, Additional Director designated as Whole-time Director.

Company's reply : We would like to bring to your notice that SEBI Letter dated June 14, 2018 read along with NSE Circular dated June 20, 2018, having ref no. as - NSE/CML/2018/24, requires Listed Companies to ensure that:

• 1. Listed Company and its Nomination Committee while considering a person for appointment as director, the listed company shall check the DIN/PAN details of the person appointed is not debarred from holding the office of director pursuant to any SEBI Order
• 1. The person proposed to be appointed as "Director" shall not be debarred from holding the office by virtue of any SEBI Order or any other authority.

With reference to above we would like to confirm that Mr. Bipin Gurnani who has been appointed as Additional Director, designated as "Whole-time Director" is not debarred from accessing the Capital Market and neither SEBI nor any authority had passed any order against him debarring from accessing the capital market.

Also, self-declaration received from Mr. Bipin Gurnani in this regard is annexed herewith for your reference.
