Contemplating issuing subordinated debt
The Board of Directors of Protector Forsikring ASA has in
a board meeting 09. July directed the administration to
make the necessary preparations for issuing subordinated
debt of not more than MNOK 500.
The Board of Directors will at a later date send notice of
an extraordinary General Meeting to be held before the end
of Q3 2015. The purpose of the General Meeting will be to
enact changes in the Companys Articles of Association, and
to grant the Board of Directors the authorization to issue
subordinated debt. These changes are deemed necessary for
the loan to be fully compliant with both the
"Finansforetaksloven" which comes into force from
01.01.2016, and the Solvency II framework.
The placement of the loan is expected to take place during
the autumn of 2015 subject to the necessary approval from
the extraordinary General Meeting and significant changes
in market conditions.
Issuance is subject to approval from the Financial
Supervisory Authority.
Protector is in dialogue with advisors and managers for
the announced potential transaction.
