PROSAFE SE – DISCLOSURE OF SHAREHOLDING – INTERNAL REORGANISATION

As part of an internal reorganisation, HV VI Invest Sierra Malta Ltd. ("Sierra Malta"), an entity wholly owned by HitecVision VI L.P., has today agreed to transfer 1,117,840,040 shares in Prosafe SE (“Prosafe”) to another wholly owned subsidiary of HitecVision VI L.P., namely HV VI Invest Sierra AS (“Sierra AS”). The transfer has been made based on a price per Prosafe share of USD 0.003409595. HitecVision VI L.P. is managed by HitecVision Advisory AS (“HitecVision Advisory”).

Following the transfer, Sierra Malta will hold no shares in Prosafe and Sierra AS will hold 1,117,840,040 shares in Prosafe, representing approx. 12.70% of the shares and votes in Prosafe. In addition, North Sea Strategic Investments AS ("North Sea"), an entity wholly owned by HitecVision VII L.P., also managed by HitecVision Advisory, holds 1,356,909,633 shares in Prosafe, representing approx. 15.42% of the shares and votes in Prosafe. The combined ownership of Sierra AS and North Sea is 2,474,749,673 shares in Prosafe, representing approx. 28.13% of the shares and votes in Prosafe, which equals the combined holding of Sierra Malta and North Sea prior to the internal reorganisation. Sierra AS and North Sea does not hold other shares or rights to shares in Prosafe.

North Sea and Sierra AS are represented in the board of directors of Prosafe by Mr. Alf C. Thorkildsen. Mr. Thorkildsen neither owns nor controls any shares in Prosafe.
