On February 5, 2017, Ram Gupta, a member of the Board of Directors of Progress Software Corporation (the “Company”), submitted his resignation as a member of the Board of Directors, effective immediately. Mr. Gupta was initially elected to the Board of Directors in May 2008. Mr. Gupta’s decision is not in connection with any known disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
