ASX ANNOUNCEMENT / MEDIA RELEASE

Zambian Project Acquisition for ABM Resources NL

Key Points:

  • Acquisition of highly prospective Kandole Hill and Myunga Project in the Zambian Copperbelt.

  • Project introduced by strategic alliance partner Ayr Infrastructure which has a successful operating track record in Zambia.

Project Location

ABM Resources NL (“ABM”) is pleased to announce the acquisition of the highly prospective Kandole Hill and Myunga Project in Zambia. The project is located an estimated 250 km to the north of Zambia’s capital Lusaka (see attached location diagram). The conceptual model is an Iron Oxide Copper Gold (IOCG) style of mineralisation. Zambia is well endowed with mineral deposits, particularly copper, and prior to 1972 was one of the world’s leading producers. Today it is the world’s fourth largest producer of copper and is forecast to increase its relative position over the next decade.

Project Interest

The ABM–AYR Infrastructure Pty Ltd Partnership (“AAP”) has entered into a partnership with Lyapana Mine Ltd (“Lyapana”) to explore and develop the Kandole Hill and Myunga Project. Upon the decision to commence a bankable feasibility study, the shareholdings will be AAP - 85% and Lyapana – 15%. A partnership agreement is being completed that will provide ABM with a 70% interest in the Kondole Hill and Myunga Project. Further details will be announced as soon as possible. After the completion of a bankable feasibility study, each party will contribute to the ongoing funding of the project to their respective shareholdings and if Lyapana elects not to contribute to the ongoing funding, its shareholding will dilute to a minimum of 5%. Subsequently, Lyapana’s equity will be free carried, but must repay AAP the cost of the project funding from the cashflow generated from the project.

AAP is committed to make an initial payment of US$25,000 to Lyapana and, on the completion of a bankable feasibility study by AAP that confirms a mining project is technically, financially and environmentally viable on any one or more of the licence, a further payment of US$125,000 shall be made to Lyapana.

AYR Resources Africa Cooperative Agreement

ABM entered into a formal Cooperative Agreement with Ayr Infrastructure Pty Ltd on 8 May 2007. Ayr Infrastructure Pty Ltd possesses an extensive and successful operational track record in a number of African countries. The strategic alliance with AYR Infrastructure provided ABM with the potential to access a number of resource project opportunities and enabled ABM to apply its technical and project management expertise.

Project details, Background and Geology

The project consists of two licences (SML310 and SML311) totalling 800 hectares. The AAP and Lyapana partnership will have the right to copper, cobalt, uranium, gold, nickel, cadmium, silver and any other associated minerals and metals found in these licences.

The project lies within the Lufilian Arc, which is a broad arcuate structure, conventionally described as about 150km wide and 500km long. The structure is probably better considered as a “mobile belt” similar to the Paterson Orogen or Halls Creek Mobile Belt in Australia and extends through Angola and Namibia.

The geology of the Kandole Hill and Myunga Project comprises of Upper Proterozoic sequence of terrigenous sediments of the Zambian Copperbelt. The sediments are siltstone and carbonate formations which have been selectively and locally mineralised to form copper deposits. Within the project region there are cross cutting structures which manifest at the surface as hematite caps. These hematite cap areas at Kandole Hill and Myunga are of a possible IOCG style of mineralisation. Initial reconnaissance rock chip sampling by ABM has returned anomalous copper values.

Planned Exploration Program

From due diligence and field reconnaissance carried out by company personnel in 2007, AAP intend to undertake a detailed geological mapping, rock chip sampling program to test the conceptual IOCG model with potential to host copper-gold mineralisation.
