ITEM 5.02(d) ELECTION OF DIRECTORS

On February 10, 2015, The Procter & Gamble Company (the "Company") issued a news release announcing that Francis S. Blake was appointed to the Board of Directors, effective immediately. Mr. Blake's will serve on the Audit and Governance & Public Responsibility Committees.

The Company is filing this 8-K pursuant to item 5.05(d), "Election of Directors."
