Item 5.07 Submission of Matters to a Vote of Security Holders.

Procore Technologies, Inc. (the “Company”) held its annual meeting of stockholders (the “Annual Meeting”) on June 5, 2025. As of April 11, 2025, the record date for the Annual Meeting, 149,145,539 shares of the Company’s common stock were outstanding and entitled to vote at the Annual Meeting. The final voting results for each of the proposals submitted to a vote of the Company’s stockholders at the Annual Meeting are set forth below. These proposals are described in detail in the Company’s definitive proxy statement filed with the U.S. Securities and Exchange Commission on April 24, 2025.

Proposal 1. Election of Directors.

The Company’s stockholders elected the three individuals listed below as Class I directors to hold office until the Company’s 2028 annual meeting of stockholders. The final voting results are as follows:
