RE: request for placing a certain matter on the agenda of the next general assembly

Pursuant to art. 401 § 1 of polish Commercial Partnerships And Companies Code I request the following matter to be added to the announced agenda of general shareholders meeting scheduled for 14 June 2023:

1) Adoption of a resolution on changes in § 12 of the "Rules of the Supervisory Board of Joint Stock Company PROCHEM S.A."

Draft of the resolution:

1 item 9 of the Articles of Association of PROCHEM S.A., the Ordinary General Meeting approves the new wording of § 12 of the "Bylaws of the Supervisory Board of the Joint Stock Company PROCHEM S.A."

"§ 12

1. The Chairman of the Supervisory Board in respect of the function exercised shall be entitled to the monthly remuneration in the amount of PLN 9500,00.

2. Other Members of the Supervisory Board in respect of the functions exercised shall be entitled to the monthly remuneration in the amount of PLN 8000,00.

2. Pozostałym Członkom Rady Nadzorczej, z tytułu sprawowanej funkcji przysługuje wynagrodzenie miesięczne w wysokości 8000,00 zł.
