NEWS RELEASE

Vancouver, British Columbia, April 24, 2024 – ProAm Explorations Corporation (“ProAm” or “ the Company ”) (TSX.V:PMX) announces that its Board of Directors has approved a consolidation of the Company’s share capital on a 2 old to 1 new basis.. The Company currently has 17,769,736 common shares issued and outstanding and accordingly, upon completion of the consolidation, there will be approximately 8,884,868 common shares outstanding.

The share consolidation is being proposed in order to allow the Company greater flexibility in future financings.
