UPDATE: Centrex Ltd (Administrators Appointed) – Court Order Granted

As previously announced, following an exclusive due diligence on Centrex Ltd (Administrators Appointed) (ASX: CXM) and its wholly owned subsidiary Agriflex Pty Ltd (Administrators Appointed), owners of the Ardmore Phosphate Mine in Queensland, the Deed of Company Administration (DOCA) proposed by PRL Global Ltd (ASX: PRG) for the acquisition of shares in Centrex and Agriflex was executed on 2 July 2025.

A Court Hearing was held on 19 August 2025 which resulted in the issuance of a Court Order giving leave for the transfer of all of the issued shares in Centrex Limited (subject to DOCA) from the members (as defined in s 9 of the Corporations Act ) to PRL Global Limited .

While this Court Order represents another key milestone, as noted in the previous announcements, completion of the transaction, involving the transfer of shares in Centrex to PRG, remains subject to a number of remaining Conditions Precedent which must be satisfied or waived by 31 August 2025.

The economic viability of the Ardmore Phosphate Mine remains dependent on having reached commercial terms with key logistics and operational counterparties inherent in the remaining CPs.

An update will be provided following the outcome for the outstanding CPs and completion of the transaction through the transfer of Centrex shares to PRG.
