CI RESOURCES LIMITED – COMPLETION OF ACQUISITION OF SWISS LOGISTICS COMPANY

CI Resources Limited ACN 006 788 754 (ASX Code: CII) confirms that the acquisition of 50% of issued shares in Swiss-based Kemoil SA (Kemoil) announced to the market on 7 June 2021 (Acquisition), has been completed.

In line with the 7 June 2021 ASX Announcement, CII’s wholly owned subsidiary, PRL Global Pty Ltd ACN 650 517 623, entered into a Share Purchase Agreement to acquire the 50% stake in Kemoil (totalling 5,000 ordinary shares) for approximately AU$7.9 million funded out of cash reserves and comprising of:

• the payment to Mekatrade of 1,033,574 Swiss Francs; and

• the provision of US$5,000,000 to Kemoil for working capital and security for its banking lines of credit.

Completion of this Acquisition occurred on 1 July 2021 in Geneva, Switzerland, which immediately preceded the appointment by CII of a majority of directors to the Kemoil Board, including the Chair, and enables CII to consolidate Kemoil for accounting purposes.
