Sub: Intimation under Regulation 30 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 - Update on the Scheme of Amalgamation Scrip Code : 521149

This has reference to the Scheme of Amalgamation ("Scheme") between ATL Textile Processors Limited ("Transferor Company - 1") and New Line Buildtech Private Limited (“Transferor Company – 2”) and Prime Urban Development India Limited (Transferee Company”) and their respective shareholders and creditors.

Subsequent to the general meeting of shareholders of the company held on January 19, 2024 in terms of the order of the Hon’ble NCLT, Chennai Bench (NCLT) dated November 30, 2023, wherein approval of the shareholders was sought for approving the scheme of amalgamation as mentioned above, the company had disclosed the voting results on January 20, 2024. The Chairperson of the said general meeting filed his report with NCLT on January 24, 2024.

Based on the aforesaid, we would like to inform that the Transferor Company 1 and Transferee Company have e-filed Petitions today i.e. on February 7, 2024 with the NCLT, under sections 230 to 232 and other applicable provisions of the Companies Act, 2013 and rules framed thereunder, for seeking the sanction of the Scheme by the NCLT. The physical filing of the said joint petition will be made in the due course.

This intimation shall also be made available on company’s website at www.ptlonline.com.
