Re: Stock Code: 500337 (BSE) / PRIMESECU (NSE)

The Board of Directors at its Meeting that concluded today, discussed the issue relating to the strategic acquisition of a stake in Bridgeweave Limited, UK, by Prime Securities Limited. This is further to the disclosures of the Term Sheets executed by the two companies, on April 13, 2023 and August 8, 2023, to the exchanges on the respective dates.

The outcome is as under:

• a) As of today, Prime Securities, as a result of its approximately 10% equity stake in Bridgeweave Limited, UK, is not just the second largest shareholder after the founders, but also an important strategic ally of Bridgeweave Limited, UK.

• b) Due to the length of time taken for the UK regulatory approval, the original 2023 deal terms have now expired and while the strategic intent remains on both sides, a new understanding would have to be reached to finalise the transaction.

• c) The Prime management continues to work closely with the Bridgeweave team, for onboarding the latter onto multiple broking platforms and expanding their presence in India.

As and when the new terms are agreed, relevant disclosures will be made to the exchanges and permissions of shareholders and regulators sought subsequently.

The Board Meeting was convened on February 14, 2024 at 4:00 p.m., subsequently adjourned to today, and concluded at 7:15 p.m.
