• 1. Re-appointment of Mr. Pradip Dubhashi as an Independent Director and Non-Executive Director for a fresh term w.e.f. February 29, 2020 until the conclusion of the 40th Annual General Meeting of the Company to be held in the year 2023;
• 1. Re-appointment of Ms. Alpana Pm'ida as an Independent Director and Non-Executive Director for a fresh term offive years w.e.f. March 27, 2020 to March 26, 2025.

The profile of Mr. Pradip Dubhashi and Ms. Alpana Parida are enclosed herewith. Mr. Pradip Dubhashi and Ms. Alpana Parida are not related to any Directors of the Company.

We also wish to inform you that the term ofMr. S. R. Sharma as Executive Director expires on February 28, 2020.

MR. PRADIP DUBHASHI

Mr. Pradip Dubhashi has expertise in management consultancy and Finance related fields. Mr. Dubhashi holds a BE in Electrical Engineering and a post-graduation in Management from XLRI, Jamshedpur. Mr. Dubhashi held senior executive positions in SICOM, Mahindra Group and Venky Group. Mr. Dubhashi has in depth knowledge of various industries such as, Engineering, Cement, Chemicals and Specialities, Software and Biotechnology. Mr. Dubhashi has consulted for both Indian as we ll as foreign companies. Mr. Dubhashi was also nominated on the Boards of Directors of various companies including as a nominee Director of financial institutions. Mr. Dubhashi has attended several courses conducted by IIMA, IEEE, NCST, ASCI and others in advanced topics in Finance, Management and Technology areas.

MS. ALP ANA PARIDA

Ms. Alpana Parida serves as the President of DY Works, India's oldest and largest branding firm headquartered in Mumbai with offices in Delhi and Singapore. Previously, Ms. Alpana Parida served as Head of Marketing at Tanishq, a prominent jewellery brand of India. Ms. Alpana Par'ida has more than two decades of extensive experience in retail and marketing communications in the US and in India. Ms. Alpana Parida conducts branding workshops for large corporates. Ms. Alpana Parida has been an Independent Non-Executive Director of Cosmo Films Limited since February 14, 20 14. Ms. Alpana Parida graduated from IIM-Ahmedabad in 1985 and has a degree in Economics from St. Stephens College, Delhi University.
