PROFIT WARNING

This announcement is made by Prime Intelligence Solutions Group Limited (the ‘‘Company’’) and together with its subsidiaries, the ‘‘Group’’) pursuant to Rule 17.10 of the Rules Governing the Listing of Securities on the GEM of The Stock Exchange of Hong Kong Limited (the ‘‘GEM Listing Rules’’) and the Inside Information Provisions (as defined in the GEM Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

The board of directors of the Company (the ‘‘Board’’) would like to inform the shareholders (the ‘‘Shareholders’’) and potential investors of the Company that based on the information currently available, the Group is expected to record a net loss of over HK$2.0 million for the six months ended 30 September 2019, as compared to a net loss of approximately HK$0.5 million for the six months ended 30 September 2018. The anticipated loss was primarily attributable to (i) the cost involved in the setting up of a new and separate software development center in the PRC to further enhance and develop the Group’s software; and (ii) an increase in administrative expenses mainly from the increase in staff costs.

The Company is still in the process of finalising the unaudited consolidated results of the Group for the six months ended 30 September 2019. This profit warning announcement is only an assessment by the Board based on the preliminary review of information currently available to the Board, which has not been reviewed nor audited by the Company’s audit committee or the auditors of the Company. Further details of the Group’s financial results and performance for the six months ended 30 September 2019 will be announced on or about 7 November 2019. Shareholders and potential investors are advised to read carefully the announcement of the Company in relation to the results of the Group for the six months ended 30 September 2019.
