Sub.: Allotment of 35,332 Equity Shares of Prime Focus Limited (“the Company”) under PFL ESOP Scheme – 2014

Dear Sir/Madam,

This is to inform that the ESOP Compensation Committee of the Board of Directors of the Company at its meeting held today i.e. Friday, August 09, 2024, has approved the allotment of 35,332 fully paid-up equity shares of Re. 1/- each pursuant to the exercise of Stock Options under PFL ESOP Scheme- 2014. The said shares will rank pari passu with the existing equity shares in all respects.

Consequent to above allotment, the Paid-Up Share Capital of the Company will increase from Rs. 29,98,71,644/- (i.e 29,98,71,644 fully Paid-Up Equity Shares of Re. 1/- each) to Rs.29,99,06,976/- (i.e 29,99,06,976 fully Paid-Up Equity Shares of Re. 1/- each).
