a In compliance with Section 108 of the Companies Act, 2013 ('the Act') read with Rule 20 of the Companies (Management and Administration) Rules, 2014 as amended from time to time, the Secretarial Standard on General Meetings ('SS-2') issued by the institute of Company Secretaries of India,the Company is providing to its Members the facility of remote e-Voting before as well as during the AGM in respect of the business to be transacted at the AGM and for this purpose, the Company has appointed NSDL for facilitating voting through electronic means. INFORMATION AND RECORD DATE / BOOK CLOSURE NOTICE is hereby given that the 50" Annual General Meeting (AGM) of the members of the Company will be held on Thursday, September 30, 2021 at 4.00 p. m. (IST) through Video Conferencing (VC) facility / Other Audio-Visual Means (OAVM), to transact the business as set out in the Notice of AGM. In accordance with the General Circular issued by the Ministry of Corporate Affairs dated January 13, 2021 read with general circulars dated May 05, 2020, April 13, 2020, April 8, 2020 (collectively referred to as "MCA Circulars") the Annual Report 2020- 2021 along with the Notice of Annual General Meeting has been dispatched through electronic mode by Bigshare Services Pvt. Ltd. on September 7, 2021 to those members whose e-mail addresses are registered with the Company's Registrar & Transfer Agent / Depositories. The requirement of sending physical copies of the Notice of the AGM has been dispensed with vide MCA Circulars. Members may note that the Notice and Annual Report the Company for the financial year 2020-2021 is available on the Company's website www.frhl.in. The Members are requested to refer the AGM Notice, for instructions for attending the AGM through VC / OAVM. Pursuant to Section 91 of Companies Act, 2013, Notice is hereby given that the Register of Members and Share Transfer Books of the Company will remain closed from September 24, 2021 to September 30, 2021 (both days inclusive) for the purpose of AGM. The Company has fixed the record date as September 23, 2021.

Remote e-Voting:

A MEMBER ENTITLED TO ATTEND AND VOTE AT THE MEETING IS ENTITLED TO APPOINT A PROXY/PROXIES TO ATTEND AND VOTE INSTEAD OF HIMSELF/ HERSELF. SUCH A PROXY/ PROXIES NEED NOT BEAMEMBER OF THE COMPANY. Since this AGM is being held pursuant to the MCA Circulars through VC / OAVM, physical attendance of Members has been dispensed with. Accordingly, the facility for appointment of proxies by the Members will not be available for the AGM and hence the Proxy Form and Attendance Slip are notannexed to this Notice.

Procedure for registration / updation of e-mail address :

(i) Members who have not registered their email address and in consequence could not receive the electronic copy of the Annual Report along with the Notice of AGM, the shareholder can temporarily get their email address registered with Bigshare Services Private Limited, by clicking the link www.bigshareonline.com and follow the registration process as guided thereafter. Post successful registration of the email address, the Member shall send a written request by email to the Company's RTA i.e Bigshare Services private Limited at [email protected] and would get soft copy of the Annual Report which includes Notice of AGM. Incase of any queries, Members may write to [email protected].

(ii) It is clarified that for permanent registration of email address, Members are requested to register their email addresses in respect of electronic holdings with their concerned Depository Participant(s) and in respect of physical holdings with Bigshare Services Private Limited, First Floor, Bharat Tin Works Building, Opposite Vasant Oasis, Makwana Road, Marol, Andheri (East), Mumbai, Maharashtra-400 059 by submitting a request letter for registration of email address mentioning your name, folio number and attaching a self-attested copy of address proof / aadhar card and self attested copy of PAN card at [email protected] or to the RTA at [email protected]

(iii) Those members who have already registered their email addresses are requested to keep their email addresses validated with their Depository Participants / Bigshare Services Private Limited to enable servicing of Notices and documents electronically to their email address.

Option to seek speakers registration:

Members may register themselves as speaker by sending their request from their registered e-mail address mentioning their name, demat account number / folio number, email ID, Mobile No. at [email protected] on or before the closing business hours of September 22 2021. Those members who have registered themselves as a speaker will only be allowed to express their views / ask questions during the AGM.
