Publication of Circular and Notice of General Meeting

Further to the announcement on 20 August 2015, in which the Company detailed a proposed sub-division of each existing ordinary share into four new ordinary shares (the "Share Split"), the Company announces that the circular relating to the Share Split (the "Circular") is being sent to shareholders today.

The Circular contains a notice of a general meeting (the "General Meeting") to approve the Share Split. The General Meeting will be held at 11.00am on Wednesday 11 November 2015 at the offices of Nabarro LLP at 125 London Wall, London EC2Y 5AL.

If the resolution to approve the Share Split is passed then it is expected that the new ordinary shares will commence trading at 8.00am on 12 November 2015.

The Circular is available for inspection on the investor relations section of the Company's website: www.phpgroup.co.uk.

A copy of the Circular has been submitted to the National Storage Mechanism and will shortly be available for inspection at www.morningstar.co.uk/uk/NSM.
