Publication of Prospectus and Notice of General Meeting

Further to the announcement this morning that the Board of PHP has reached agreement to acquire Prime Public Partnerships (Holdings) Limited ("PPP") (the "Proposed Acquisition"), PHP announces that a combined class 1 circular and prospectus relating to the Proposed Acquisition (the "Prospectus") was approved by the UK Listing Authority (the "UKLA") earlier today.

The following documents are expected to be posted to PHP shareholders shortly:

1.   the Prospectus, including the notice of General Meeting of the Company to approve the Proposed Acquisition, to be held at the office of the Company at Ground Floor, Ryder Court, 14 Ryder Street, London SW1Y 6QB at 10.00 a.m. on 2 December 2013; and

2.   a form of proxy for use at the General Meeting.

The Prospectus will shortly be made available on the Company's website www.phpgroup.co.uk. Copies of the Prospectus will be available from the registered office of PHP at Ground Floor, Ryder Court, 14 Ryder Street, London SW1Y 6QB during normal business hours on any weekday (except public holidays) free of charge. A copy of the Prospectus has also been submitted to the National Storage Mechanism and will shortly be available for inspection at: http://www.Hemscott.com/nsm.do.
