Completion of internalisation

Further to the announcement on 4 January 2021 in relation to General Meeting to approve the proposed management internalisation, the Company is pleased to announce that the transaction has today completed.  Accordingly, Harry Hyman (formerly Managing Director) has been appointed as Chief Executive Officer and Richard Howell (formerly Finance Director) has been appointed as Chief Financial Officer.  Paul Wright has been appointed as Company Secretary in place of Nexus Management Services Limited.

As a result of completion 11,485,080 new Ordinary Shares ("New Shares") have been issued to Mr Harry Hyman pursuant to the terms of the Share Purchase Agreement, subject to admission to the premium listing segment of the Official List of the FCA and to trading on the main market for listed securities of the LSE (together, "Admission").

Admission of the New Shares is expected to be effective on 6 January 2021. Following admission and in accordance with the Disclosure and Transparency Rules of the Financial Conduct Authority, the Company will have 1,327,036,460 Ordinary Shares in issue, each share carrying the right to one vote. The Company does not hold any shares in treasury.

The above figure of 1,327,036,460 Ordinary Shares may be used by shareholders in the Company as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure Guidance and Transparency Rules of the Financial Conduct Authority.
