Sub : Approval for incorporation and investment in shares of Wholly Owned Subsidiary

Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform that Pricol Limited at its Board meeting held today (29[th] January 2026) has approved incorporation of wholly owned subsidiary (WOS) in India in the name of Pricol Autotech Limited or such other name as may be approved by authorities, for the operational convenience.

Further, the Board has approved investment upto Rs.1,00,00,000 (Rupees One Crore only) in one or more tranches in the said WOS. The proposed WOS will engage in the business of manufacturing and/or distribution of electronic components catering to automotive as well as non-automotive applications.

Requisite disclosure as required under the SEBI Circular No. SEBI/HO/CFD/CFD-PoD1/P/CIR/2023/123 dated 13[th] July 2023 is enclosed as Annexure – 1
