Sub: Technology License Agreement with Domino S.r.l

Pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Regulations”) read with SEBI Circular No. SEBI/HO/CFD/CFD-PoD1/P/CIR/2023/123 dated 13[th] July, 2023 (“Circular”), we hereby inform that Pricol Limited has entered into a Technology License Agreement with Domino S.r.l, on 14[th] July, 2025. This agreement will enable Pricol to manufacture, distribute and sell the Switches, Throttles, and allied products for use as original equipment in 2-Wheeler as required by the customers.

Requisite disclosure as required under the SEBI Regulations and the Circular is enclosed as Annexure- I

Further, a copy of press release about the aforesaid agreement is attached herewith as AnnexureII , which will be disseminated shortly.

PRICOL and Domino S.r.l shall in consultation decide the customer requirements and specifications to deploy end-to-end solutions. The Agreement will have a term of 5 years, unless the Parties decide to extend it bymeans of a later written agreement.
8.	Whether the acquisition would fall within related party transactions and whether the promoter/ promoter group/ group companies have any interest in the entity being acquired? If yes, nature of interest and details thereof and whether the same is done at “arms length”	The agreement between Pricol Limited and Domino S.r.l is not a related party transaction.

10.	Rationale and benefit expected	This arrangement will enable Pricol & Domino S.r.l to share the value of such strategic partnership in providing an aggregated handlebar solution to potential customers - OEMs in Indian and South East Asian markets across 2-wheeler vehicle segments.
