F1: Upon vesting of restricted stock awarded to employees, PriceSmart repurchases shares and withholds the amount of the repurchase payment to cover employees' tax withholding obligations. On March 16, 2019, the Compensation Committee approved the acceleration of vesting of 3,986 shares subject to a restricted stock award previously granted to the reporting person. The acceleration corrects an error in the vesting schedule of a March 6, 2019 restricted stock award. As revised, 20% of the shares vested August 29, 2019, 10% of the shares vested October 16, 2019, 45% vest August 29, 2020 and 25% vest August 29, 2021, subject to continued service through each such vesting date.
