Transactions in shares by Persons Discharging Managerial Responsibilities ("PDMRs")

The Company announces that on 1 April 2016, awards over ordinary shares of 10 pence each in Premier Foods plc were made to the following PDMRs under the Premier Foods Restricted Stock Plan ("RSP"). These awards are in accordance with the Company's annual management incentive plan for the financial year commencing 3 April 2016 and are made in the normal course of business.

The RSP enables awards to be made to senior management who are not executive directors of the Company. The awards were granted in the form of conditional awards. No consideration was paid for the grant of the awards and no consideration shall be payable when an award vests. The awards will normally vest on 30 September 2017 provided that the individual remains an employee or officer of the group.

This announcement is in accordance with DTR 3.1.4R and relates to transactions notified to the Company in accordance with DTR 3.1.2R.
