Sub: Outcome of Board Meeting held on 29th May, 2026 - Audited Financial Results (Standalone & Consolidated) for the quarter and year ended 31st March, 2026 and Final Dividend.
Pursuant to the provisions of Regulation 30, 33 & other applicable regulations of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we would like to inform you that, the Board of Directors of the Company have, at their Meeting held today i.e., 29th May, 2026, inter-alia considered, approved/recommended the following:
I. The Audited Financial Results (Standalone and Consolidated) for the fourth quarter and financial year ended 31st March, 2026
Pursuant to Regulation 33 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we enclose herewith, a copy of the Audited Financial Results (Standalone and Consolidated) for the fourth quarter and financial year ended 31st March, 2026 along with Auditors' Report received from M/s. Majeti & Co., Statutory Auditors of the Company
We hereby confirm that the Statutory Auditors of the Company i.e., M/s. Majeti & Co., Chartered Accountants, have issued the Audit Reports on Standalone and Consolidated Financial Statements of the Company for the financial year ended 31st March, 2026 with unmodified opinion. A declaration stating that the Audit Reports are with unmodified opinion is also enclosed.
II. Recommended a dividend of Rs.0.50/- (i.e., 25%) per equity share of Rs. 2/- each for the financial year ended March 31, 2026, subject to approval of the members at the ensuing 46th Annual General Meeting (AGM) of the Company. The dividend, if approved by the Shareholders, will be paid with 30 days of approval/declaration. The AGM date and book closure / record date for the purpose of payment of dividend will be informed in due course.

Report on the Audit of Standalone Financial Results
Opinion
We have audited the accompanying standalone Annual financial results ('the Statement') of PREMIER EXPLOSIVE LIMITED ('the Company') for the quarter and year ended 31 March 2026, attached herewith, being submitted by the Company pursuant to the requirements of Regulation 33 of the SEBI (listing Obligations and Disclosure Requirements) Regulations, 2015 (as amended) ('listing Regulations'), including relevant circulars issued by the SEBI from time to time.
In our opinion and to the best of our information and according to the explanations given to us, the aforesaid standalone financial results:
(i) are presented in accordance with the requirements of Regulation 33 of the Listing Regulations in this regard; and
(ii) give a true and fair view in conformity with the recognition and measurement principles laid down in the applicable accounting standards prescribed under Section 133 of the Companies Act, 2013 (the "Act") and other accounting principles generally accepted in India, of net profit and other comprehensive income and other financial information of the Company for the year ended March 31, 2026 and the standalone statement of assets and liabilities and the standalone statement of cash flows as at and for the year ended on that date.
Basis for Opinion
We conducted our audit in accordance with the Standards on Auditing (SAs) specified under section 143(10) of the Act. Our responsibilities under those Standards are further described in the Auditor’s Responsibility for the Audit of the Standalone Financial Statements section of our report. We are independent of the Company in accordance with the Code of Ethics issued by the Institute of Chartered Accountants of India (ICAI) together with the ethical requirements that are relevant to our audit of the standalone financial statements under the provisions of the Act and the Rules made thereunder and we have fulfilled our other ethical responsibilities in accordance with these requirements and the ICAI’s Code of Ethics. We believe that the audit evidence obtained by us is sufficient and appropriate to provide a basis for our opinion on the on the annual standalone financial results.

Emphasis of Matter
We draw attention to Note 7 to the Standalone financial statements regarding the accident at the Company’s manufacturing facility during the year, resulting in damage to certain plant and machinery and buildings aggregating to ₹709.80 lakhs. Based on management’s assessment, the Company has recognized an insurance claim receivable of ₹609.80 lakhs and charged the balance amount of ₹100 lakhs to the Statement of Profit and Loss. The said insurance claim, recognized during the first quarter of the financial year, remains outstanding and pending settlement with the insurer as at March 31, 2026.
Our opinion is not modified in respect of this matter.
Management’s and Board of Directors’ Responsibility for the Standalone Financial Results
These Standalone financial results have been prepared based on the standalone annual financial statements for the year ended March 31, 2026.
The Company’s Board of Directors is responsible for the matters stated in section 134(5) of the Act with respect to the preparation and presentation of these standalone financial Results that give a true and fair view of the financial position, financial performance including other comprehensive income and cash flows in accordance with the Ind AS and other accounting principles generally accepted in India and in compliance with Regulation 33 of the Listing Regulations. This responsibility also includes maintenance of adequate accounting records in accordance with the provisions of the Act for safeguarding the assets of the Company and for preventing and detecting frauds and other irregularities; selection and application of appropriate accounting policies; making judgments and estimates that are reasonable and prudent; and design, implementation and maintenance of adequate internal financial controls, that were operating effectively for ensuring the accuracy and completeness of the accounting records, relevant to the preparation and presentation of the standalone financial results that give a true and fair view and are free from material misstatement, whether due to fraud or error.
In preparing the standalone financial Results, the Board of Directors is responsible for assessing the Company’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the Board of Directors either intends to liquidate the Company or to cease operations, or has no realistic alternative but to do so.
The Board of Directors are also responsible for overseeing the Company’s financial reporting process.
Auditor’s Responsibility for the Audit of the Standalone Financial Results
Our objectives are to obtain reasonable assurance about whether the standalone financial Results as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with SAs will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these standalone financial Results.

As part of an audit in accordance with SAs, we exercise professional judgment and maintain professional scepticism throughout the audit. We also:

Identify and assess the risks of material misstatement of the standalone financial Results, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal control.

Obtain an understanding of internal financial control relevant to the audit in order to design audit procedures that are appropriate in the circumstances. Under section 143(3)(i) of the Act, we are also responsible for expressing our opinion on whether the Company has adequate internal financial controls system in place and the operating effectiveness of such controls.

Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures in the annual financial results made by the Board of Directors.

Conclude on the appropriateness of Board of Directors’ use of the going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the Company’s ability to continue as a going concern. If we conclude that a material uncertainty exists, we are required to draw attention in our auditor’s report to the related disclosures in the standalone financial Results or, if such disclosures are inadequate, to modify our opinion. Our conclusions are based on the audit evidence obtained up to the date of our auditor’s report. However, future events or conditions may cause the Company to cease to continue as a going concern.

Evaluate the overall presentation, structure and content of the annual standalone financial Results, including the disclosures, and whether the annual standalone financial Results represent the underlying transactions and events in a manner that achieves fair presentation.
We communicate with those charged with governance regarding, among other matters, the planned scope and timing of the audit and significant audit findings, including any significant deficiencies in internal control that we identify during our audit.
We also provide those charged with governance with a statement that we have complied with relevant ethical requirements regarding independence, and to communicate with them all relationships and other matters that may reasonably be thought to bear on our independence, and where applicable, related safeguards.
Other Matters
The annual financial results include the results for the quarter ended 31 March 2026 being the balancing figure between the audited figures in respect of the full financial year and the published unaudited year to date figures up to the third quarter of the current financial year which were subject to limited review by us.

The standalone annual financial results dealt with by this report has been prepared for the express purpose of filing with stock exchanges on which the Company's shares are listed. These results are based on and should be read with the audited standalone financial statements of the Company for the year ended March 31, 2026, on which we issued an unmodified audit opinion vide our report dated May 29, 2026.

Notes to the financial results

The above Standalone Audited Financial Results have been reviewed and recommended by Audit Committee and approved by the Board of Directors at its meeting held on May 29, 2026. The Statutory Auditors of the Company have issued unmodified opinion.

The Statements are prepared in accordance with the Companies (Indian Accounting Standards) Rules, 2015 (Ind AS) prescribed under Section 133 of the Companies Act, 2013 and other recognised accounting practices and policies to the extent applicable and in terms of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended.

The Company is engaged in the business of "High Energy Materials" and has only one reportable segment in accordance with Ind AS 108 "Operating Segments".

Exceptional item for the year ended March 31, 2026, represents ex-gratia compensation aggregating to ₹520 lakhs (₹400 lakhs recognized in the first quarter and ₹120 lakhs in the second quarter) extended to employees affected by the accident at the Company’s manufacturing facility.

The Government of India has consolidated 29 existing labour legislations into a unified framework comprising four labour codes viz the Code on Wages, 2019, the Code on Social Security, 2020, the Industrial Relations Code, 2020, and the Occupational Safety, Health and Working Conditions Code, 2020 (collectively referred to as the "Codes"). The Codes have been made effective from November 21, 2025. The Ministry of Labour & Employment published draft Central Rules and FAQs to enable assessment of the financial impact due to changes in regulations. The impact of these changes, assessed by the Company, on the basis of the information available, consistent with the guidance provided by the Institute of Chartered Accountants of India, is not likely to be material. Once Central/State Rules are notified by the Government on all aspects of the Codes, the Company will evaluate impact, if any, on the measurement of employee benefits and would provide appropriate accounting treatment.

Other income for the year ended March 31, 2026, includes (a) purchase discounts of ₹3,417.80 lakhs arising from a commercial settlement with a supplier, of which ₹2,246.39 lakhs was recognized in Q2 and ₹1,171.41 lakhs in Q4, relating to materials procured and consumed in the previous financial year, (b) The company made a provision of Rs.500 lakhs in F.Y. 2024-25 towards expected loss on long term contracts which has been reversed in the first quarter of F.Y. 2025-26 pursuant to reassessment of the expected contract income."

During the year, an accident occurred at the Company’s manufacturing facility resulting in damage to certain plant and machinery and buildings aggregating to ₹709.80 lakhs. The Assets were adequately insured covering the risk and claim has been lodged. Based on management’s assessment of the recoverable insurance claim, the Company has recognized ₹609.80 lakhs as insurance claim receivable and charged the balance amount of ₹100 lakhs to the Statement of Profit and Loss. The insurance claim was recognized during the first quarter of the financial year and remains pending settlement with the insurer as at March 31, 2026.

The Figures for the quarter ended March 31, 2026 and quarter ended March 31, 2025 are the balancing figures between audited figures in respect of full financial year and the published year to date unaudited figures up to the third quarter of the current and previous financial years i.e., 2025-26 and 2024-25 respectively.

The Board of Directors has recommended a dividend of Rs. 0.50 per equity share of Rs.2/- each for the financial year 2025-26, subject to approval of shareholders at the ensuring annual general meeting of the company.

The figures for the corresponding previous period have been reclassified / regrouped wherever necessary to conform to current period classification.

Report on the Audit of Consolidated Financial Results
Opinion
We have audited the accompanying statement consolidated Annual financial results of PREMIER EXPLOSIVES LIMITED (hereinafter referred to as the "Holding Company"), and its subsidiaries (the Holding Company and its subsidiaries together referred to as "the Group"), for the quarter and year ended March 31, 2026 ("the Statement"), attached herewith, being submitted by the Holding Company pursuant to the requirement of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 as amended ("Listing Regulations"), including relevant circulars issued by the SEBI from time to time.
In our opinion and to the best of our information and according to the explanations given to us, and based on the consideration of reports of other auditors on separate audited financial statements our report on the aforesaid consolidated financial results:
(i) include the annual financial results of the following entities:
a. Premier Wire Products Limited (Subsidiary).
b. PELNEXT Defence Systems Private Limited (Subsidiary)
c. Premier Global Limited (Joint Venture)
(ii) are presented in accordance with the requirements of Regulation 33 of the Listing Regulations in this regard; and
(iii) give a true and fair view in conformity with the recognition and measurement principles laid down in the applicable accounting standards prescribed under Section 133 of the Companies Act, 2013 (the "Act") and other accounting principles generally accepted in India, of net profit and other comprehensive income and other financial information of the Group for the year ended March 31, 2026 and the consolidated statement of assets and liabilities and the consolidated statement of cash flows as at and for the year ended on that date.
Basis for Opinion
We conducted our audit in accordance with the Standards on Auditing ("SAs") specified under section 143(10) of the Companies Act, 2013 ("the Act"). Our responsibilities under those Standards are further described in the Auditor's Responsibilities for the Audit of the Consolidated Financial Results section of our report. We are independent of the Group in accordance with the Code of Ethics issued by Institute of Chartered Accountants of India ("ICAI") together with the ethical requirements that are relevant to our audit of the financial

statement under the provisions of the Act and rules thereunder, and we have fulfilled our other ethical responsibilities in accordance with these requirements and the Code of Ethics.
We believe that the audit evidence obtained by us and other auditors in terms of their reports referred to in "Other Matters" paragraph below, is sufficient and appropriate to provide a basis for our opinion on the annual consolidate financial results.
Emphasis of Matter
We draw attention to Note 7 to the Consolidated financial statements regarding the accident at the Company's manufacturing facility during the year, resulting in damage to certain plant and machinery and buildings aggregating to ₹709.80 lakhs. Based on management's assessment, the Company has recognized an insurance claim receivable of ₹609.80 lakhs and charged the balance amount of ₹100 lakhs to the Statement of Profit and Loss. The said insurance claim, recognized during the first quarter of the financial year, remains outstanding and pending settlement with the insurer as at March 31, 2026.
Our opinion is not modified in respect of this matter.
Management's and Board of Director's Responsibilities for the Consolidated Financial Results
These Consolidated financial results have been prepared on the basis of the consolidated annual financial statements. The holding Company's Board of Directors are responsible for the preparation and presentation of the Consolidated Financial Results that give a true and fair view of the consolidated net Profit and consolidated other comprehensive income and other financial information of the Group in accordance with the Ind AS and other accounting principles generally accepted in India and in compliance with Regulation 33 of the Listing Regulations. The respective Boards of Directors of the companies included in the Group are responsible for maintenance of adequate accounting records in accordance with the provisions of the Act for safeguarding of the assets of the Group and for preventing and detecting frauds and other irregularities; selection and application of appropriate accounting policies; making judgments and estimates that are reasonable and prudent; and the design, implementation and maintenance of adequate internal financial controls, that were operating effectively for ensuring the accuracy and completeness of the accounting records, relevant to the preparation and presentation of the respective financial results that give a true and fair view and are free from material misstatement, whether due to fraud or error, which have been used for the purpose of preparation of this Consolidated Financial Results by the Directors of the Company, as aforesaid.
In preparing the Consolidated Financial Results, the respective Board of Directors of the companies included in the Group are responsible for assessing the ability of the respective entities to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the respective Boards of Directors either intend to liquidate their respective entities or to cease operations, or have no realistic alternative but to do so.
The respective Boards of Directors of the companies included in the Group are responsible for overseeing the financial reporting process of the Group.
Auditor's Responsibilities for the Audit of the Consolidated Financial Results
Our objectives are to obtain reasonable assurance about whether the Consolidated Financial Results as a whole, are free from material misstatement, whether due to fraud or error, and to

issue an auditor's report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with SAs will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of this Consolidated Financial Results.
As part of an audit in accordance with SAs, we exercise professional judgment and maintain professional scepticism throughout the audit. We also:
- Identify and assess the risks of material misstatement of the Consolidated Financial Results, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal control.
- Obtain an understanding of internal financial controls relevant to the audit in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of such controls.
- Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures in the annual financial results made by the Board of Directors.
- Evaluate the appropriateness and reasonableness of disclosures made by the Board of Directors in terms of the requirements specified under Regulation 33 of the Listing Regulations.
- Conclude on the appropriateness of the Board of Directors' use of the going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the ability of the Group to continue as a going concern. If we conclude that a material uncertainty exists, we are required to draw attention in our auditor's report to the related disclosures in the Consolidated Financial Results or, if such disclosures are inadequate, to modify our opinion. Our conclusions are based on the audit evidence obtained up to the date of our auditor's report. However, future events or conditions may cause the Group to cease to continue as a going concern.
- Evaluate the overall presentation, structure and content of the annual consolidated financial results, including the disclosures, and whether the annual consolidated financial results represent the underlying transactions and events in a manner that achieves fair presentation.
- Obtain sufficient appropriate audit evidence regarding the financial results of the entities within the Group to express an opinion on the consolidated financial results. We are responsible for the direction, supervision and performance of the audit of financial information of such entities included in the consolidated financial results of which we are the independent auditors. For the other entities included in the consolidated financial results, which have been audited by other auditors, such other auditors remain responsible for the direction, supervision and performance of the audits carried out by them. We remain solely responsible.

We communicate with those charged with governance of the Company and such other entities included in the Consolidated Financial Results of which we are the independent auditors regarding, among other matters, the planned scope and timing of the audit and significant audit findings, including any significant deficiencies in internal control that we identify during our audit.
We also provide those charged with governance with a statement that we have complied with relevant ethical requirements regarding independence, and to communicate with them all relationships and other matters that may reasonably be thought to bear on our independence, and where applicable, related safeguards.
We also performed procedures in accordance with the circular issued by the SEBI under Regulation 33(8) of the Listing Regulations, as amended, to the extent applicable.
Other Matters

We did not audit the financial statements of two subsidiaries included in the consolidated financial results, whose financial statements reflect total assets of Rs. 706.81 Lakhs as at March 31, 2026, total income of Rs.27.73 lakhs, total net profit after tax and total comprehensive income of Rs. 0.25 lakhs and net cash inflows amounting to Rs.20.55 lakhs and share of Loss of Joint venture of Rs. 2.22 Lakhs for the year ended on that date, as considered in the consolidated financial results. These financial statements have been audited by other auditors whose reports have been furnished to us by the Management and our opinion on the consolidated financial results, in so far as it relates to the amounts and disclosures included in respect of these subsidiaries is based solely on the reports of the other auditors.

The Financial Results include the results for the quarter ended March 31, 2026, being the balancing figures between the audited figures in respect of the full financial year and the published unaudited year to date figures up to the third quarter of the current financial year, which were subject to limited review by us.

The consolidated annual financial results dealt with by this report have been prepared for the express purpose of filing with stock exchanges on which the Company's shares are listed. These results are based on and should be read with the audited consolidated financial statements of the group for the year ended March 31, 2026, on which we have issued an unmodified audit opinion vide our report dated May 29, 2026.

Notes to the financial results

This above Consolidated Audited Financial Results have been reviewed and recommended by Audit Committee and approved by the Board of Directors at its meeting held on May 29, 2026. The Statutory Auditors of the Company have issued unmodified opinion.

The Statement are prepared in accordance with the Companies (Indian Accounting Standards) Rules, 2015 (Ind AS) prescribed under Section 133 of the Companies Act, 2013 and other recognised accounting practices and policies to the extent applicable and in terms of Regulation 33 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended.

The group is engaged in the business of "High Energy Materials" and has only one reportable segment in accordance with Ind AS 108 "Operating Segment".

Exceptional item for the year ended March 31, 2026, represents ex-gratia compensation aggregating to ₹520 lakhs (₹400 lakhs recognized in the first quarter and ₹120 lakhs in the second quarter) extended to employees affected by the accident at the Company's manufacturing facility.

The Government of India has consolidated 29 existing labour legislations into a unified framework comprising four labour codes viz the Code on Wages, 2019, the Code on Social Security, 2020, the Industrial Relations Code, 2020, and the Occupational Safety, Health and Working Conditions Code, 2020 (collectively referred to as the "Codes"). The Codes have been made effective from November 21, 2025. The Ministry of Labour & Employment published draft Central Rules and FAQs to enable assessment of the financial impact due to changes in regulations. The impact of these changes, assessed by the Company, on the basis of the information available, consistent with the guidance provided by the Institute of Chartered Accountants of India, is not likely to be material. Once Central/ State Rules are notified by the Government on all aspects of the Codes, the Company will evaluate impact, if any, on the measurement of employee benefits and would provide appropriate accounting treatment.

Other income for the year ended March 31, 2026, includes (a) purchase discounts of ₹3,417.80 lakhs arising from a commercial settlement with a supplier, of which ₹2,246.39 lakhs was recognized in Q2 and ₹1,171.41 lakhs in Q4, relating to materials procured and consumed in the previous financial year, (b) The company made a provision of Rs.500 lakhs in F.Y. 2024-25 towards expected loss on long term contracts which has been reversed in the first quarter of F.Y. 2025-26 pursuant to reassessment of the expected contract income."

During the year, an accident occurred at the Company's manufacturing facility resulting in damage to certain plant and machinery and buildings aggregating to ₹709.80 lakhs. The Assets were adequately insured covering the risk and claim has been lodged. Based on management's assessment of the recoverable insurance claim, the Company has recognized ₹609.80 lakhs as insurance claim receivable and charged the balance amount of ₹100 lakhs to the Statement of Profit and Loss. The insurance claim was recognized during the first quarter of the financial year and remains pending settlement with the insurer as at March 31, 2026.

The Figures for the quarter ended March 31, 2026 and quarter ended March 31, 2025 are the balancing figures between audited figures in respect of full financial year and the published year to date unaudited figures up to the third quarter of the current and previous financial years i.e., 2025-26 and 2024-25 respectively.

The figures for the corresponding previous period have been reclassified / regrouped wherever necessary to conform to current period classification.

The Board of Directors has recommended a dividend of Rs. 0.50 per equity share of Rs.2/- each for the financial year 2025-26, subject to approval of shareholders at the ensuing annual general meeting of the company.
