Completion of Transaction Between NLTG and Premia Properties

Athens, September 15, 2025: Following the announcement dated July 17,2025, regarding the signing of an agreement for the acquisition of a hotel in the Canary Islands (Gran Canaria) from NLTG (Nordic Leisure Travel Group), Premia announces that the completion of the transaction was concluded on Friday, August 12, 2025.

Specifically, Premia acquired from "AIRTOURS RESORT OWNERSHIP ESPANA, S.L.U" an NTLG Group subsidiary company, 100% of the share capital of "HOTELES SUNWING S.A.U" which owns the 4-star hotel resort, "Sunwing Arguineguin" located in the Municipality of Mogan, Gran Canaria, Spain, with total capacity of 252 keys ("the Hotel"), for the amount of €64.000.000 (subject to adjustments following confirmatory legal, technical, and financial due diligence).

NLTG, which has successfully operated the Hotel for 39 years, will continue their operation as a tenant, under a long-term lease agreement (triple net) with an initial term of 15 years and an option for extension for additional 10 years (5+5).

The initial annual rent, which will be paid starting October 1st, 2025, amounts to €4,640,000 and will be subject to annual rent adjustment based on CPI.

The debt financing of the transaction was provided by the National Bank of Greece (NBG).

Elias Georgiadis, CEO of STERNER STENHUS and Chairman of PREMIA, made the following statement: "We are expanding our investments in the tourism sector in collaboration with NLTG as a strategic partner. In less than a year we have acquired a portfolio of 1,050 rooms worth 180 million euros. Our goal for the next two years is to exceed 2,000 rooms by capitalizing on investment opportunities and increasing PREMIA's profitability."
